consequential damages

danos indiretos e lucros cessantes

Indirect damages and lost profits, depending on how the clause is worded.

liquidated damages

cláusula penal com valor pré-fixado

A penalty clause with a pre-agreed amount.

time bar

prazo para notificar o pleito, sob pena de perda do direito

The deadline to give notice of a claim, or the right is lost.

Terms that allocate risk are checked by someone who knows the industry and both legal systems.

§ 1 · The risk

One mistranslated word becomes a claim.

Not every translation is read the same way. In contracts and disputes, the text isn't just checked. It's interpreted.

Checked text

Consulates, registries, notaries

The reader verifies form, data and validity. It calls for volume, speed and consistency: the platform's standard workflow.

Interpreted text

Counterparty, arbitrator, expert witness, regulator

The reader looks for meaning, and sometimes a loophole. Every term allocates risk and money. It calls for industry expertise: Zetta Select.

With Zetta Select, the glossary is agreed before the first page, and every term that allocates risk goes through a named senior reviewer.

§ 2 · The method

Translate the concept, not just the word.

Many terms in international contracts have no direct equivalent in a civil law system such as Brazil's, and the reverse is also true. Localization adapts the concept to the legal system of the reader, keeps the original term when it matters and flags when the legal effect changes.
