This English version is a translation provided for convenience. In case of any discrepancy, the Portuguese version prevails.
These terms and conditions (“Terms”) govern access to and use of the services and related content (“Services”) made available by ZETTA TRANSLATE LLC, a company incorporated in Delaware, United States, and/or by ZETTA TRANSLATE LTDA., Brazilian company ID (CNPJ) 54.114.100/0001-78, depending on the contracting entity, or their affiliates (“Zetta”), to individual translators and translation companies (“Language Professional”).
Qualification as a Language Professional depends on approval of the registration and on meeting the requirements of the selection process. By registering and continuing to use the Services, the Language Professional declares that they have read, understood and fully accepted these Terms. If they do not agree, they must stop using the Services immediately.
These Terms are specific terms of use and may replace, supplement or modify the General Terms of Use. In case of conflict, the specific conditions prevail, respecting the autonomy of each clause. The Language Professional authorizes Zetta to send administrative, informational and promotional communications through the Platform, email, SMS, WhatsApp or other available channels.
Zetta may change these Terms. Changes that restrict rights or modify economic conditions, deadlines or payment criteria will be communicated at least 30 days in advance, during which the professional may withdraw from the network at no cost. Continued use means acceptance of the amended version.
Registration information and other data of the Language Professional are subject to Zetta's Privacy Policy, which is an integral part of these Terms. The professional agrees to the collection, use and transfer of data for storage, processing and provision of the Services by Zetta, its controller and companies of the same economic group.
The Language Professional must keep confidential all documents and information accessed through Zetta, including project information, contracts, studies, methods, code, software, inventions, trade secrets, emails, drawings and third-party data. They may be held personally liable for damages caused to Zetta, its affiliates or third parties due to any breach.
The Services consist of brokering translation services and facilitating payments, through a non-exclusive software license that allows the Language Professional to receive client requests. The professional appoints Zetta as their representative to collect credits, process payments, settle debts and act in the best interest of the represented party.
The Language Professional authorizes, free of charge, the use of their name and image to promote the services on the Platform, promotional materials, social media, ads and other channels. The authorization may be revoked in writing; Zetta will withdraw the material within 30 days, except materials already printed or published by third parties.
The license to use the Platform is limited, personal, non-exclusive, non-transferable, non-commercial and revocable. Zetta retains all rights not expressly granted. The License may be free of charge, while Brokerage may be subject to a fee charged to the client according to the service category.
Translation Services include technical, sworn, certified or other applicable types, as well as document formatting as the project requires. Sworn translations must be done by a translator certified by the competent institution. Technical translations must follow the language, terminology, purpose and audience of the specialized field.
A general certified translation may be issued with an affidavit or an equivalent formal statement, agreed in advance with Zetta, in line with the requirements of the jurisdiction or purpose. Certifications from recognized bodies such as ATA, ATIA, ATIO and NAATI, among other equivalents, are also valid. The translator is responsible for the truthfulness and compliance of the certification.
Definition of Translation Service: for the purposes of these Terms, the service is complete and indivisible and comprises, cumulatively, translation of the content, linguistic and technical review and layout, formatting or adaptation to the required layout. Payment is due only after full completion and delivery, unless Zetta authorizes otherwise in advance. If the project is canceled for reasons not attributable to the professional, payment will be due in proportion to the work proven to have been translated and reviewed.
The Zetta Instant Quote tool calculates quotes based on the registered rates and the character count of the documents. Average accuracy is 98% to 99% for printed texts and 85% to 95% for handwritten ones, rounded up to avoid undercounting. The count is an estimate, but follows criteria designed to reflect the actual volume of work.
Unless expressly stated in the proposal: a lauda (standard page) equals 1,000 characters without spaces, counted in the target text; a page equals one page of the source document; and a word is each word of the source text. The unit, volume and rounding criteria appear in the proposal before acceptance. After acceptance, they become final, unless the client replaces or adds documents.
Zetta suggests deadlines according to volume, without preventing the client from suggesting an alternative deadline. The professional may accept the deadline or propose a new date, subject to the client's approval. The selected proposal triggers a notification on the Platform, and all actions must be taken directly there.
The client may select more than one translator. The professional must monitor notifications, respond promptly and upload the translated documents for approval. The client may reject the project in whole or in part, request adjustments or, if problems are not resolved, request cancellation and a refund under the General Terms of Use.
Joining is optional, and not joining entails no penalty, lower priority, change in reputation or harm to staying on the Platform. The professional activates it themselves, and it applies to projects quoted after activation; opting out takes effect within 24 hours and does not affect projects already accepted.
When registering, the professional may enter, for each language pair, the Standard Productivity, the Express Productivity and the billing unit. Zetta Instant Quote will calculate the deadline automatically, excluding non-business days and national holidays in the professional's or the client's country, whichever is more restrictive.
“Guaranteed Deadline” projects are accepted automatically. The professional must meet the deadline, report any justified impossibility within 2 hours and be liable for delays. Non-compliance may lead to reclassification, removal from the option and compensation for losses and damages. Updated parameters apply only to new quotes, and Zetta may improve the algorithm or the eligibility criteria.
Zetta handles payment to the Language Professional as a representative for collection and transfer, in the amount of the accepted proposal, according to the settlement cycle. The financial cycle is cumulative: it covers services completed with funds available between the 26th of the previous month and the 25th of the current month; payment is made on the 15th of the following month, or on the next business day.
Payment depends on prior submission of a valid invoice and on the absence of any dispute, withholding or refund request. Corporate, public or policy-specific projects may have a different payment term, expressly stated in the proposal before acceptance. Declining it carries no penalty.
Bank details must be correct, up to date and in the professional's own name. Bank fees and transfer costs will be disclosed in advance. Special Projects may have a rate different from the registered one, always disclosed before the invitation; participation is optional. Zetta does not guarantee payment by a defaulting client, but will handle billing and collection.
Services performed in Brazil must be invoiced to Zetta Translate LTDA., CNPJ 54.114.100/0001-78. Services performed outside Brazil must be invoiced to Zetta Translate LLC, 8 The Green, Suite A, Dover, DE 19901. Zetta may create promotional codes and reward programs, withhold or deduct payments after a reasoned notice and a response period of 5 business days, and make tax withholdings required by law.
The professional must comply with these Terms and applicable law; pay operating fees, when applicable; act in good faith, with diligence, professionalism and respect; register only for translation types and language pairs in which they have recognized technical knowledge; maintain the required authorizations and legal requirements; and be fully responsible for the Translation Service.
Hiring takes place directly between clients and partner translators. Zetta is not liable for losses or damages arising from the relationship between the parties. The professional will indemnify and hold Zetta harmless from claims related to their acts, conduct or Translation Service.
Non-circumvention: while these Terms are in force and for 12 months after the last project is completed, the professional may not hire or provide services outside the Platform to clients introduced through it, unless a prior business relationship can be proven. Violation subjects the professional to a non-compensatory fine of three times the value of the external services or of the last project, whichever is higher, plus losses and damages and removal from the network. Adding one's own contacts, brands or advertising to Platform documents and communications is prohibited.
Machine translation and artificial intelligence: entering Platform documents or data into public machine translation tools, generative AI or clouds that use the content for training or any purpose other than performing the work is prohibited. CAT tools and solutions in a controlled environment may be used with assured confidentiality, full human review and the translator's responsibility. Their use is prohibited in sworn or certified translations when required by law, the certifying body or the client.
The professional will be evaluated on quality, errors, rework, punctuality and communication. Zetta may keep internal records, including error rates and average delays, for evaluation. Repeated errors and delays may result in cancellation of the license and the account.
Zetta is not responsible for fraudulent conduct by the professional and may block their access, take legal or out-of-court measures, withhold suspicious payments and deduct from future payments amounts previously paid in which fraud is detected.
Zetta may suspend or cancel the Service, including for violation of these Terms, unsatisfactory performance, court order, the professional's request, change or deactivation of the Service, force majeure, security, prolonged inactivity, abusive use or default. Termination may occur without prior notice, and account data may be permanently deleted.
Zetta may take legal and out-of-court measures. Suspension or termination does not extinguish amounts owed, which remain payable and subject to offset, nor does it give the professional any right to indemnity or compensation.
Trademarks, names, logos, domains, content, design, artwork and layout of the Platform and the Services belong exclusively to Zetta. Decompiling, reverse engineering, modifying, expanding, altering, merging, incorporating and reproducing the Services in whole or in part are prohibited.
No employment, corporate, economic, partnership or agency relationship is established between the professional and Zetta. The professional is free to stop using the Services. Zetta provides licensing and brokerage and is not a translation company.
These Terms constitute the entire agreement and supersede prior understandings. They are governed by the laws of Brazil, with the courts of the capital of the State of São Paulo as the chosen venue. Official notices to Zetta must be sent to its head office. Failure to exercise a right does not imply waiver; invalid provisions will be replaced or disregarded without affecting the others. The professional may not assign these Terms without authorization, while Zetta may assign them to a parent company, subsidiary, affiliate, acquirer or successor.
After termination, the clauses on confidentiality, intellectual property, non-circumvention, use of machine translation and AI, liabilities, financial obligations, governing law and venue remain in force for the periods set out in them or for as long as needed to produce their effects.
To join, consent to and sign the Terms and Conditions for Partner Translators, the Language Professional identified below declares that the information provided is true, complete and up to date, and takes civil and legal responsibility for its accuracy.
The Language Professional, through their legal representative, declares that they have read, understood and fully accepted Zetta's Terms and Conditions for Partner Translators, agreeing to their clauses, obligations, rights and responsibilities. They further declare that this Annex I is an integral and inseparable part of the Terms, with legal effect from electronic acceptance or signature.
